Xref Location Problem

I have two drawings of same location in the same coordinates.

But when I do XREF of one to the other, they are sitting in different locations.

What could be the problem & How to solve this?

I need to overlay each other so that I can use as reference.

Check that the units are both the same (Type Units on the commandline) If they vary then this causes a problem with the xref position. If one drawing is set to FEET and the other to INCHES, then you would have to provide a scale.
The best option is to use the same measurement with all Xref files.

The units are same in both drawings ie.both drawings are in millimeters. i need to tell little history of these dwgs.
the source dwgs is created using 0,0 as base reference. later it is moved to actual coordinates using the corners of parcel in the location map. using this map(geo-referenced) from this stage, we developed new map for our services. If i check the coordinates of the parcel corners in the final map and the source map...both are same. but if we xref the source map to the final map, they are placed at different locations. but if we copy the features from the source and paste to original coordinates in the final map, they are placed exactly. only xref is not placed in proper location. what could be the reason.
